Membership Agreement

This Membership Agreement (“Agreement”) is entered into by Lila Lounge at Café Balagan LLC (the “Organization”) and (the “Member”).

Member Benefits. Membership in the Organization will provide the Member with the following benefits:

• Access to and use of the facilities located at 241 Main Street, Northampton, Massachusetts (the “Club”), between the hours of _____ p.m. and ____ p.m.

or such other times as the Club is open for use as a club.

The ability to socialize with other members.

The right to purchase alcoholic and non-alcoholic beverages at the Club.

The right to purchase food at the Club.

Membership Charges. Membership is free but each Member shall pay a non-refundable entrance fee of $_____ per visit to the Club.  Food or beverages must be purchased separately and are not included in the Club fees.  Additional fees may apply for special Club events.  Fees are subject to periodic increases.

Membership Requirements. Membership is required to enter the Club and attend all Club events. Members must:

Be at least 21 years of age with a valid government-issued ID.

Have read and signed this Membership Agreement.

Have had an in-person interview with a Club representative.

 Rules and Restrictions. The Member shall comply with the following rules and restrictions (collectively, the “Rules”):

 Comply with any rules posted by the Organization from time to time.

Be respectful of all other members and Organization representatives and staff.

Contribute to a relaxed atmosphere at the Club without creating excessive noise.

Not smoke any tobacco or cannabis products (including vaping or other use of e-cigarettes) at the Club.

Not bring or allow non-members to enter the Club.

Not bring in and/or consume any alcohol or food items from outside the Club.

The Member expressly assumes the risk of injury to the Member or damage or loss to the Member’s property.  The Member shall not make claims against the Organization for such injury, damage, or loss unless caused by the Organization’s gross negligence or willful misconduct.

The Organization will not share contact or other personal information about the Member with other members or any other parties absent such Member’s prior written approval in each instance.

 Membership Termination. Membership is completely voluntary and may be terminated by the Member or the Organization at any time for any or no reason.  The Club may be disbanded or its hours of operation changed at any time by the Organization. For avoidance of doubt, membership does not entitle the Member to ownership or any other rights in the Organization.

Governing Law. This Agreement shall be governed by Massachusetts law.

Binding Effect. This Agreement is binding on and shall inure to the benefit of the Organization and its successors and assigns and to the Member their heirs and legal representatives.
